End-User License Agreement (EULA) of CleverPDF

IMPORTANT PLEASE READ THE TERMS AND CONDITIONS OF THIS LICENSE AGREEMENT CAREFULLY BEFORE CONTINUING WITH THIS PROGRAM INSTALL

This End-User License Agreement ('EULA') is a legal agreement between you and WeiLai Technology Co. Ltd ('Licensor'). This EULA agreement governs your acquisition and use of our CleverPDF software ('Software') directly from Licensor or indirectly through a Licensor authorized reseller or distributor (a 'Reseller').

Please read this EULA agreement carefully before completing the installation process and using the CleverPDF software. It provides a license to use the CleverPDF software and contains warranty information and liability disclaimers.

If you register for a free trial of the CleverPDF software, this EULA agreement will also govern that trial. By clicking 'accept' or installing and/or using the CleverPDF software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.

This EULA agreement shall apply only to the Software supplied by Licensor herewith regardless of whether other software is referred to or described herein. The terms also apply to any Licensor updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant
Licensor hereby grants you a non-transferable, non-exclusive license to use the CleverPDF software on your devices in accordance with the terms of this EULA agreement.

You are permitted to load the CleverPDF software (for example a PC, laptop) under your control. You may install and use one copy of the Software on a single computer at a time and only by one user at a time, or up to the permitted numbers of computers and users. You may make a single copy of the Software solely for archival purposes.
You are not permitted to:

Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things.

Reproduce, copy, distribute, resell or otherwise use the Software for any commercial purpose. Evaluation versions available for download from Licensor and Resellers websites may be freely distributed.

Use the Software in any way which breaches any applicable local, national or international law.

Use the Software for any purpose that Licensor considers is a breach of this EULA agreement.
License abuse and/or violation. If any abuse of a license is suspected or found, Licensor retains the right to make the serial code invalid. You also agree to surrender your license immediately upon any notification of violation of any of the terms in this EULA and you will not be refunded any money upon surrendering your license.

Intellectual Property and Ownership
Licensor shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Licensor.

Licensor reserves the right to grant licenses to use the Software to third parties.

Termination
This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Licensor.

It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.

No Warranties
Licensor expressly disclaims any warranty for the Software. The Software is provided 'As Is' without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, noninfringement, or fitness of a particular purpose. Licensor does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Software. Licensor makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. Licensor further expressly disclaims any warranty or representation to Authorized Users or to any third party.

LIMITATION OF LIABILITY
IN NO EVENT WILL LICENSOR, ITS SUPPLIERS, RESELLERS OR ITS LICENSORS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, ANY LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR, ITS SUPPLIERS, RESELLERS OR ITS LICENSORS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL LICENSORS LIABILITY UNDER THIS AGREEMENT EXCEED THE AMOUNT OF THE LICENSE FEES ACTUALLY PAID BY YOU IN RESPECT OF THE COPY OF SOFTWARE GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATION SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

Governing Law
This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of CHINA.
